3. Intellectual Property & Ownership

The Client retains full ownership of all Reality Capture data, including both registered data and final deliverables. Spatial Synergy Pty Ltd retains full rights to access and utilise the data for the express purposes of data management support, service delivery, anonymised marketing, internal training, and project expansion, unless explicitly stated otherwise in this agreement.

4. Service Provider Usage Rights

Secure Data Storage & Management: Authorisation for local and cloud-based storage for the purpose of data management, support, and necessary service provision. Internal Research & Development: Utilisation of data solely for internal training, workflow optimisation, and research purposes. Project Expansion: Utilisation of data for project expansion, such as combining it with third-party datasets corresponding to the same site. Marketing & Promotional Materials: Utilisation in digital content and marketing, strictly anonymised with no identifying client details. Public Portfolio & Case Studies: Inclusion in professional portfolios and public case studies, strictly anonymised with no identifying client details. Confidential (Internal Use Only): Data utilisation is restricted to internal operations, data management, and support to authorised parties, subject to NDA. Strictly Confidential (Zero Retention): All data must be permanently purged from Spatial Synergy Pty Ltd systems immediately following final delivery and acceptance.
Note: Selecting this option means you will lose all ongoing data management and support services.

5. Data Retention & Access

Spatial Synergy Pty Ltd agrees that the registered data and deliverables will be stored on our secure server archive for a period of 24 months post-delivery. After this 24-month period, the data may be removed from our systems unless an extension is requested separately.

Secure Data Storage: To facilitate seamless delivery and data management, the Client acknowledges and expressly permits the use of Spatial Synergy's secure storage infrastructure for the retention of the data. This does not imply public cloud distribution.

Access to the retained data will be restricted strictly to the individuals listed in the Authorised Access Register included at the end of this document. Alternative or future access grants require explicit written approval by the Client's authorised contact.

6. Third-Party Data Warranties & Indemnification

If the Client provides Spatial Synergy Pty Ltd with third-party data (including but not limited to historical scans, models, drawings or other datasets) to host, process, or combine with Spatial Synergy's captured data, the Client warrants that they possess the legal right, relevant licences, and necessary permissions to do so.

The Client agrees to fully indemnify, defend, and hold harmless Spatial Synergy Pty Ltd against any and all legal claims, damages, losses, or liabilities made by third parties arising from or regarding the use, hosting, or processing of said provided data.

Confirmation of All Data: This agreement applies to and grants access to ALL existing and previously captured reality capture data and models associated with this project, encompassing all applicable data owned by the Client (Commissioning Entity).
