Confirmation of All Data: This agreement applies to and grants access to ALL existing and previously captured reality capture data associated with this client and/or site, encompassing all applicable data owned by the Client (Commissioning Entity).

3. Definitions

Raw Data: The unprocessed files generated directly from capture equipment (e.g. raw scan files, raw photographs, sensor logs).
Deliverables: The finalised, processed outputs provided to the Client (e.g. registered point clouds, 3D meshes, BIM models, orthomosaics).

4. Intellectual Property & Ownership

The Client retains full and exclusive ownership of all Reality Capture data, including both Raw Data and final Deliverables. Spatial Synergy Pty Ltd retains full rights to access and utilise the data for the express purposes of data management, project support, and service delivery, unless explicitly stated otherwise in this agreement.

Grant Permission for Necessary Services The Client grants Spatial Synergy Pty Ltd permission to utilise the data for necessary services and specified use cases. Please select specific authorisation categories below.

6. Data Access & Hosting

Spatial Synergy Pty Ltd agrees to host and maintain access to the Deliverables via our designated cloud platforms (e.g. Cintoo) or local servers for a period of 24 months post-delivery. After this 24-month period, the data may be removed from our systems unless an extension is requested separately.

Cloud Infrastructure: To facilitate seamless delivery and management, the Client acknowledges and expressly permits the use of secure third-party cloud infrastructure (such as Cintoo or equivalent platforms) for the hosting and distribution of Deliverables.

Access and hosting data will be restricted strictly as per this document. Alternative access grants require explicit written approval by the Client.

7. Third-Party Data Warranties & Indemnification

If the Client provides Spatial Synergy Pty Ltd with third-party data (including but not limited to historical scans, architectural models, or external datasets) to host, process, or combine with Spatial Synergy's captured data, the Client warrants that they possess the legal right, relevant licences, and necessary permissions to do so.

The Client agrees to fully indemnify, defend, and hold harmless Spatial Synergy Pty Ltd against any and all legal claims, damages, losses, or liabilities made by third parties arising from or regarding the use, hosting, or processing of said provided data.
